Parking

1. There is limited visitor parking near 1751 (between the front entrance and the corner of Pinnacle and Greensboro)

  • Some visitor spaces are timed.
  • Be sure you have enough time for your meeting or event

2. Some additional parking along Pinnacle Drive and along the access road between 1753 and Chain Bridge Road.

3. Finally, a limited number of parking passes for the garage at 1751 Pinnacle Drive are available for purchase.  Please contact Joel Westphal if interested.

Normal Business Hours

Normal business hours are 9 am to 5:30 pm on normal business days (Mondays to Fridays, not including bank/government holidays), and 9 am to 2 pm on normal business days before bank/government holidays and up to 3 other days to be designated by Chisel.

Access After Normal Business Hours

Access after Normal Business Hours requires an Access Card. You can apply for a card by completing the online forms here. HVAC only operates 6 am to 6 pm during regular business days. Access cards are the property of Chisel and must be returned upon demand.

Via WiFi

You are automatically checked in when you connect to the WiFi network using your Nexudus username and password.

Via Kiosk

You can also check in upon arrival by using the kiosk located in the lobby.

Since Chisel is a coworking space, you are responsible for all aspects of your business except for the services listed above. While we do not provide receptionist services, paralegal support, IT support, insurance, marketing, or associates, we are happy to help you if you need help locating those resources.

We reserve the right to modify plans and fees at any time.

Internet Access

  • You will need to use your Nexudus username and password to connect to the wifi network, labeled “Chisel”. All use of the Chisel network is subject to the Network Terms of Service.
  • Every member can connect up to 3 devices to the network at a time, including devices for guests. If you require additional device connections, contact the Technology Manager here, at least 4 hours in advance.
  • If you have problems accessing the network, please submit a help request here on Nexudus or see the Community Manager or Technology Manager.

Chisel maintains an online directory of its members, accessible only by other Chisel members.

Daily Passes

If you have a Virtual Member or Mailbox Only plan, access to Chisel requires a Daily Pass. Virtual Members receive one Daily Pass each month to access Chisel, while no Daily Passes are included in the Mailbox Only plan. Additional passes may be purchased for $50/day through your Nexudus Account here.  Daily Passes do not rollover from month to month.  Purchased Daily Passes do not expire.  Passes are non-transferrable, non-refundable, and have no cash value upon cancellation.

Flex Desk, Reserved Desk, and Private Office Plans have unlimited access to Chisel and do not require Daily Passes.

Flex Desks

  • For location, see “MAP OF SPACE” #9 and #7
  • Flex Desks are open for use by all Chisel Members on a first come, first serve basis.
  • Members should refrain from loud conversations, telephone calls, or other disruptive activities at Flex Desks. Please use the Forge or Telephone Rooms instead.
  • Members should not leave materials at Flex Desks overnight (any materials found at 0700 will be collected and held by Community Manager until claimed).

Reserved Desks

  • For location, see “MAP OF SPACE” #9 and #7
  • Reserved Desks require a Reserved Desk Membership. Reserved Desks are assigned on a first come, first serve basis.  See the Community Manager for desk assignment.  Reserved Desks require a reimbursable deposit equal to one month’s payment.
  • Reserved Desks come with the following equipment:
    • 54” AllSteel workstation
    • High End AllSteel Chair
    • Integrated power ports
    • Lockable storage (subject to availability)
  • Members should refrain from loud conversations or telephone calls at Flex Desks. Please use the Forge or Telephone Rooms instead.
  • Reserved Desks may be shared. Each additional user must have a Member or Flex Desk Plan
  • Reserve Desk Members will be issued one set of keys for lockable storage. We charge $20 to replace lost keys.
  • Members shall not store any dangerous, illegal, or offensive items in lockable storage.
  • Chisel reserves the right to reassign or cancel Reserved Desks at any time, and may access lockable storage for health, emergency, or safety reasons, with or without notice.
  • You may not alter or install furniture without prior approval of Chisel. If you alter or install furniture without approval, you will responsible for the full cost of the removal and repair of furniture. Removal or repair shall be coordinated with the Community Manager in advance.  If Chisel incurs costs removing or repairing furniture installed/altered without approval, we shall deduct the full cost from your Security Deposit.

Private Offices

  • For location, see green area in “MAP OF SPACE”
  • Private Offices require a Private Office Membership. Private Offices are assigned on a first come, first serve basis.  See the Community Manager for office assignment.  Private Offices require a reimbursable deposit equal to one month’s payment.
  • Private Offices come with the following equipment:
    • AllSteel Desk with Return
    • High End AllSteel Chair
    • Office keys
  • Private Offices may be shared. Each additional user must have a Member, Flex Desk, or Reserved Desk Plan
  • Private Office Members will be issued one set of keys for the Private Office. We charge $40 to replace lost keys.
  • Members shall not store any dangerous, illegal, or offensive items in Private Offices.
  • Chisel reserves the right to reassign or cancel Private Offices at any time, and may access Private Offices for health, emergency, or safety reasons, with or without notice.
  • You may not affix anything to walls, alter the office, or alter/install furniture without prior approval of Chisel. If you affix items to walls, alter the office, or alter/install furniture without approval, you will responsible for the full cost of the repair of the office and removal/repair of furniture. Removal or repair shall be coordinated with the Community Manager in advance. If Chisel incurs costs repairing the office or removing/repairing furniture installed/altered without approval, we shall deduct the full cost from your Security Deposit.

Quiet Room

  • For location, see dark grey area in “MAP OF SPACE”
  • The Quiet Room may be used by all Chisel members on a first come, first serve basis.
  • Members should refrain from conversations, calls, and other distracting activities inside the Quiet Room. Please use the Forge or Telephone Rooms instead.
  • Members should not leave materials inside the Quiet Room overnight (any materials found at 0700 will be collected and held by Community Manager until claimed).

Phone Rooms

  • For location, see the purple area, or #8, in “MAP OF SPACE”
  • Chisel has 4 private Phone Rooms which can be reserved by any member using Booking Credits. See “Booking a Room” below.
  • Phone Rooms come equipped with
    • Speakerphone
    • Chair
    • Built in Table
    • Lighting
    • USB enabled power outlets
  • When not reserved, Phone Rooms may be used on a first come, first serve basis (but must be vacated if another member reserves the room).
  • Phone Rooms require $12.50 in Booking Credit to reserve per hour.
  • Please leave Phone Rooms clean and tidy after use.

Conference and Huddle Rooms

Booking a Room

You can book Conference Rooms, Huddle Rooms, and Telephone Rooms through the Nexudus web portal, through the Nexudus Passport App, or through the Scheduling Tablet located outside each room. Reservations must be made for 30 minute increments, must be paid when made, and can be cancelled up to one hour before the reserved time.

Printing and Copying

  • Printing and copying are managed through PaperCut, our cloud printing and copying service. Using Papercut, you can print from your computer direct to any of our printers.  Our copiers also use PaperCut to track usage. Each member has a monthly quote of free printing/copying as part of their membership. Additional black and white pages are $0.08. Additional color pages are $0.12.

Shredding

  • For location, see Workrooms, or #10, in “MAP OF SPACE”
  • Chisel provides secured containers in Work Rooms for members to deposit documents that require shredding.

The Forge Kitchen/Bar/Lounge

  • For location, see the orange area, or #12 in “MAP OF SPACE”
  • The Forge Kitchen/Bar/Lounge may be used by all Chisel Members on a first come, first serve basis.
  • The Forge Kitchen contains
    • A standing refrigerator for community use. This refrigerator is cleaned out every Friday at COB.
    • A glass front refrigerator containing condiments for community use.
    • A coffee maker for community use.
    • A hot/cold water dispenser for community use.
    • An icemaker for community use.
    • A sink and dishwasher for community use. Members are responsible for cleaning their own coffee cups and dishware.  Dishwashers are run daily.
    • Two microwaves for community use.
    • Kegerator containing Nitro Coffee and Beer. Please drink responsibly.  Members are responsible for ensuring their guests drink responsibly and are at least 21. Nitro Coffee and Beer availability subject to supply.  Beer not available after 5:30 pm except during evening functions.
  • Please leave the Forge clean and tidy after use.
  • The Forge is a common area for enjoyment by all Members and isintended for temporary use.
  • Please coordinate with the Community Manager prior to hosting any events or gatherings of greater than 4 people in the Forge.
  • The fee for exclusive use of the Forge for an event is $400 per hour for the space, 2 hours minimum.  Nitro/Coffee is +$50/hr.  Beer is +$100/hr.  Fee includes 1 staff member onsite to open/close space and provide A/V support.

Booking Credits

  • Booking Credits are used to reserve conference, huddle, and telephone rooms and pay for printing/copying. Each member receives an allotment of booking credits every month as part of their membership. Monthly booking credits do not rollover from month to month.
  • Additional booking credits can be bought in $25 increments through Nexudus here. Purchased booking credits do not expire.
  • Booking credits cannot be transferred or exchanged or sold, are nonrefundable, and have no value upon membership cancellation.
  • When booking a room, you can add the names of non-Chisel visitors and generate a code they can use to access Chisel WiFi during for the period of the booking.

Lockable Storage

  • For location, see the purple area, or #8, in “MAP OF SPACE”
  • Any member can reserve a storage locker for use for $10/month. You can purchase a storage locker rental through Nexudus here.
  • Lockers have an electronic keylock. Once you’ve reserved a storage locker, contact the Community Manager for locker assignment and an electronic access code.
  • Members shall not store any dangerous, illegal, or offensive items in storage lockers.
  • Chisel reserves the right to reassign or cancel lockers at any time, and may access lockers for health or safety reasons, with or without notice.

Mail/Package Handling and Mail Scanning

Mailboxes

  • For location, see #11 in “MAP OF SPACE”
  • Mail and package handling is a separate service available for Member and Flex Plans for an additional $50/month and included in the Reserved Desk and Private Office Plans. You can purchase Mail/Package Handling through Nexudus here.
  • Once you’ve signed up for Mail/Package Handling, contact the Community Manager for mailbox assignment and an access key. We charge $30 to replace lost mail keys.
  • Mail is delivered to mailboxes once per Regular Business Day, no later than 2 pm. Note: mail is not delivered on Saturdays or bank/government holidays.
  • If you have a package, you’ll receive a key in your mailbox that can be used to open a corresponding package locker. We will do our best to notify members of packages/certified mail, but you are responsible for checking for deliveries if there’s anything time sensitive.
  • If you cancel your Mail/Package Handling Service or membership, we will not hold or forward mail. Please arrange for mail forwarding with the US Postal Service prior to cancellation.

Mail Scanning Service

  • Mail Scanning is a separate service that members with a mailbox can purchase for an additional $50/month for all mail up to 10 pages per piece, with a $.05 per page charge for mail items above 10 pages. You can purchase Mail Scanning through Nexudus here.
  • Our staff members will receive, open, and email Chisel members with this service scanned images of their mail daily. We guarantee a digital copy of the mail within one business day of receipt.
  • If you cancel your Mail/Package Handling Service or membership, we will not hold or forward mail. Please arrange for mail forwarding with the US Postal Service prior to cancellation.

Private Phone Line

  • Private Office Members have the option to purchase a private phone line for $60/month. You can purchase Private Phone Lines through Nexudus here.
  • Once you’ve signed up for a Private Phone Line, contact the Community Manager for Phone Line assignment and equipment issue.
  • Members with this service will receive an assigned direct dial number that rings to their office. Unanswered calls will go to Voicemail, which can be checked remotely. We unfortunately do not offer call answering services.

Our suite has four security cameras installed for your safety.

Building Amenities

  • Gym: The gym is located on level B of the Building. You’ll need an access card to enter and have a signed waiver on file. You can apply for a card by completing the online forms here.
  • Lobby: The building lobby contains meeting spaces and workspaces for use by the community on a first come, first serve basis.  There is additional public seating on the third floor bridge between 1751 and 1753 Pinnacle. Note: Chisel Wifi does not extend to the building lobby.
  • Deli/Coffee Shop: The building contains a Deli and Coffee Shop on the first floor.
  • Dry Cleaning/Convenience Store: The building contains a Dry Cleaners and Convenience Store on the first floor.
  • Restaurant: Asian Origin is located on the first floor of the building. Here’s the menu.
  • Childcare: Bright Horizons has a location on the first floor of the building. Please contact them direct for availability and enrollment criteria.
  • Wifi Patio: The building has a wifi patio for community use.

Wireless Network

Monitor FAQs

There is no display on the monitor, what do I do now?

Make sure the monitor is on. If no power light (green or orange light) is seen on the monitor display, try pressing the power button until it comes on. If your computer monitor was on and you stepped away from the computer and upon returning it was black, it’s likely that the computer is asleep. Try moving your mouse, clicking the mouse buttons, and/or pressing any key (space bar) on the keyboard to wake it up. Make sure that the monitor is connected properly to the back of the computer.

What do I do if the image on screen is distorted or skewed?

You may receive a distorted image when the cable is loose or defective. Disconnect the video cable going from the back of the computer and verify that no pins are bent, burnt or broken. Once verified re-connect the monitor cable. If the refresh rate is not properly set the monitor may have a wavy or an appearance that lines are going down or across the monitor slowly or fast, this may also cause a flickering affect. A distorted image can be caused by magnetic or other types of interference. Verify no speakers, fans or other magnetic devices are close to the monitor.

I get a ‘no signal input’ message, what do I do?

Verify that the monitor is properly connected in the back of the monitor as well as to the back of the computer. If the monitor appears to be connected properly, verify that a cable is not loose by disconnecting all cables that can be disconnected in the back of the monitor (generally the data cable cannot be disconnected). Next, disconnect the data cable connected to the back of the computer and then reconnect the cable. When connecting the cable in the back of the computer ensure the cable connection is tight. Most Computers will also have screw ends that can be screwed in to hold the connector in place.

There are black borders on my screen, what do I do?

If the resolution was recently changed it is possible for the monitor to not auto adjust or shift to the correct size. If this occurs, the resolution can be changed back to the original setting or you can manually adjust the monitor. If a black border exists on the monitor it can generally be resolved by manually adjusting the horizontal or vertical width. Because each monitor is different, the method of adjusting this setting will vary; consult your monitor documentation.

Guest Wireless Access Terms of Service & Acceptable Use Policy

  1. Agreement

This Guest Wireless Terms of Service & Acceptable Use Policy (the “Agreement”) constitutes a legally binding agreement made by and between FH+H, PLLC dba Chisel (“Chisel”) and you, whether personally or on behalf of an entity (“you”), concerning your use of Chisel’s wireless network services, including without limitation all related servers, equipment, internet connection(s), websites and communications networks, whether owned or operated by Chisel, its affiliates, or its contractors (collectively, the “Network”).

BY CLICKING THE “I AGREE” BUTTON OR BY ACCESSING OR USING ANY PART OF THE NETWORK, YOU AGREE THAT YOU HAVE READ AND UNDERSTAND, AND THAT YOU AGREE TO BE BOUND BY AND TO ABIDE BY, THIS AGREEMENT.  IF YOU DO NOT UNDERSTAND THIS AGREEMENT, OR DO NOT AGREE TO BE SO BOUND, DO NOT ACCESS OR USE THE NETWORK.

Chisel may revise this Agreement any time. You are deemed to accept the current Agreement each time you use or access the connection, and it is your responsibility to review it for any changes. If you do not accept this Agreement, you may not use the Network.

  1. Access

Use of the Network is limited to individuals who can form legally binding contracts under applicable law. Without limitation, minors are prohibited from entering into binding contracts, and so are prohibited from using the Network.

Your access to the Network is at Chisel’s discretion. Your access may be blocked, suspended or terminated at any time and for any reason, including but not limited to violation of this Agreement, interruption of services, disruption of access to other users or networks or to otherwise protect Chisel, our users, or other third parties.

The Network is available to your device only when it is within wireless range of our access points or in your office, flex desk, or a conference room through an ethernet cable to a data network port. The connection is generally subject to unavailability, including by reason of emergencies, service failures, transmission, equipment or network problems or limitations, interference, signal strength, and maintenance and repair. We are not responsible for any interruptions or performance issues with the Network, including without limitation, the connection, or the underlying network(s), transmission equipment and systems. Network speed will vary based on your device configuration, location, compression, network congestion and other factors. You are solely responsible for any devices, software, or other materials necessary for use of the Network.

Chisel may in its sole discretion change, modify, suspend, make improvements to, or discontinue any aspect of the Network, temporarily or permanently, at any time and without notice to you. Under no circumstance will Chisel be liable for any such change, modification, suspension, improvement, or discontinuance.

  • Privacy and Security

You acknowledge that no data network and internet-based communication is 100% secure, such communications could be intercepted by equipment and software and no such communication should be considered private or protected.

Subject to applicable law and in accordance with our privacy policy, Chisel also has the right, but not the obligation, to monitor, intercept and review, and disclose, without further notice, any transmissions over or use of our Network to comply with lawful process, orders, warrants or subpoenas, or to protect Chisel’s rights, property and users.

  1. Prohibited Use

You represent and warrant that your use of the Network will be in accordance with this Agreement, and any applicable laws and regulations, and with any other applicable policy or terms and conditions.

You agree not to use the Network to:

  1. Intentionally or unintentionally violate any applicable local, state, national or international law, including without limitation, accessing or using (or attempting to access or use) the Network or taking any action online that violates any applicable law or regulation or that could harm Chisel or any third party or interfere with the operation of the Network to others;
  2. Impersonate any person or entity, including, but not limited to, Chisel, a Chisel employee or member, or falsely state or otherwise misrepresent your affiliation with Chisel or any person or entity;
  3. Upload, post, e-mail, transmit, post links to, or use the Network for any content that you do not have a right to transmit under any law or regulation or under contractual or fiduciary relationships (such as inside information, client information, or proprietary and confidential information learned or disclosed as part of attorney-client relationships or under nondisclosure agreements);
  4. Upload, post, e-mail, otherwise transmit or post links to any content, or select any member or user name or e-mail address, that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, libelous, invasive of privacy or publicity rights, hateful, or racially, sexually, ethnically or otherwise objectionable;
  5. Infringe on any patent, trademark, service mark, trade secret, copyright, intellectual property rights or other proprietary rights of any party, or contributing to inducing or facilitating such infringement;
  6. Transmit or create software viruses, worms, Trojan horses, time bombs, trap doors or any other computer code, files or programs or repetitive requests for information designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or to diminish the quality of, interfere with the performance of, or impair the functionality of the Network, or facilitate hacking;
  7. Take any action that imposes an unreasonable or disproportionately large load on the Network or infrastructure or that violates or threatens or system or network security or that of Chisel’s users or any third parties, including any attempt to circumvent any restrictions imposed on your access to or use of the connection or our other websites;
  8. Reproduce, retransmit, disseminate, or resell the connection or authorize any other individual or entity to use the connection, whether for profit or not, without our express written permission; or
  9. Act in any manner that is offensive to these stipulations of acceptable use.

 

Any breach of this provision may result in civil or criminal liability. Chisel may report such breaches to relevant law enforcement authorities and co-operate with those authorities to prosecute users who violate this Agreement. Chisel has the right, but not the obligation, to suspend or terminate your access and use of the Network and other services we may provide you and to block or remove any communications or materials transmitted through the Network.

  1. Indemnity

You agree to defend, indemnify, and hold harmless Chisel and its directors, officers, employees, agents, representatives, licensors, suppliers, service providers, affiliates, parents, subsidiaries, and other contractors from and against any and all claims, actions, demands, causes of action, and other proceedings (collectively “Claims”) arising out of or relating to: (i) your breach of this Agreement, including without limitation any representation or warranty contained in this Agreement; (ii) your use of the Network; (iii) your consumption of any content or materials provided by means of the Network; or (iv) your provision to Chisel of information or data. Chisel will have the right, but not the obligation, to participate through counsel of its choice in any defense by you of any claim as to which you are required to defend, indemnify, or hold harmless Chisel (“Indemnified Claim”). You may not settle any Indemnified Claim without Chisel’s prior written consent.

  1. Disclaimer of Warranties and Limitation of Liability

Chisel is providing the Network on an “AS IS” and “AS AVAILABLE” basis. To the extent permitted by law, Chisel disclaims all warranties and terms, express or implied, including warranties, terms or representations as to the availability, operation, security, performance and/or use of our services, or any other materials on or accessed via our services, or the accuracy, speed, availability or uptime of the services, network, or data, including any warranties or terms of merchantability, fitness for a particular purpose, title, non-infringement and any implied warranties, terms or indemnification arising from course of dealing or course of performance.

You waive any and all claims and rights against Chisel, its affiliates, parents, and successors and each of Chisel’s employees, assignees, officers, agents, directors, contractors, and service providers (the “Chisel Parties”) resulting from injury or damage to, or destruction, theft, or loss of, any property, person, to the maximum extent permitted by applicable law. None of the Chisel Parties will be liable to you under any cause of action, for any indirect, special, incidental, consequential, reliance or punitive damages, including loss of profits or business interruption.

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the exclusions and limitations above may not apply to you. In such event, such exclusions and limitations shall apply to the maximum extent allowed under applicable law.

The aggregate monetary liability of any of the Chisel Parties to you, or your officers, employees, contractors, agents, representatives guests or invitees for any reason and for all causes of action, will not exceed the total fees paid by you to Chisel under this Agreement in the twelve (12) months prior to the claim arising.  You acknowledge and agree that you may not commence any action or proceeding against any of the Chisel Parties, whether in contract, tort, or otherwise, unless the action, suit, or proceeding is commenced within one (1) year of the cause of action’s accrual and brought in a state or federal court located within the Commonwealth of Virginia.  Notwithstanding anything contained in this Agreement to the contrary, you acknowledge and agree that you shall not commence any action or proceeding against any of the Chisel Parties other than the Chisel Party you are directly contracting with hereunder and the assets of such person for any amounts due or for the performance of any obligation in connection with this Agreement.

Each provision of this Agreement shall be considered severable. To the extent that any provision of this Agreement is prohibited, this Agreement shall be considered amended to the smallest degree possible in order to make the Agreement effective under applicable law.

 

Do's

  • Be friendly and courteous. Make an effort to keep a pleasant tone, greet coworkers and listen patiently. This boosts morale and fosters good working relationships. Also, take extra steps such as opening doors, allowing others on the elevator first or thanking coworkers. You never know who will ask you to join a multi-million dollar corporate restructuring on behalf of one of their clients.
  • Make connections. One of the biggest benefits of shared working spaces is the networking opportunities. Reach out to other coworkers and get to know them and what type of law they practice. These connections can be valuable and can help earn you some word-of-mouth advertising. There is nothing easier or more convenient than a referral source sitting right next to you or just down the hallway. Check out the Member Directory and Community Board as starting points to connect with other Chisel Members.
  • Practice leaving no traces. When cleaning up, make a goal to leave the work space as if nobody used it. Organizing, wiping surfaces and other small tasks can make a huge difference. This includes the kitchen, conference rooms, huddle rooms, phone rooms, etc.
  • Use the phone rooms. If you are in Private Office close the door for those important client calls. If you are in a Flex or Reserved Desk, please use one of the four conveniently located phone rooms that are uniquely built for confidential phone calls. Talking in a normal voice prevents conflicts and ensures that other workers can hear their clients on their phones
  • Bring your own supplies. If someone loans you supplies, try to return or replace them as a courtesy. See our Community Manager with any special requests.
  • Be a courteous eater. Shared working spaces mean shared eating spaces in many instances. If you eat at the office, it is better to choose mild foods that do not leave strong odors. When you finish eating, we ask that you throw away your trash and take care of your own dishes. We have plenty of coffee, lattes, macchiato available. In addition, we have nitro-coffee and cold beer on tap. Please do not over-indulge. This service is not available after 5:30 pm weekdays unless there is a function scheduled in the evening or on the weekend.
  • Replace things when you use them. If your co-working space has a printer, refill the paper when the tray is empty or kindly notify the Community Manager. The Community Manager will do periodic checks on supply levels but always appreciates hearing from you. These small gestures show the other people who share your space that you care about their comfort.
  • Only use your allowed space. Reserve, reserve, reserve! When people find shared office space for rent, they usually have permission for certain areas. If you do not use extra unauthorized space, you ensure that other workers have access to their needed spaces, and this helps people build respect for one another. Through our unique online reservation program you may reserve conference rooms, huddle rooms, phone rooms, the Forge and more in just a few clicks.
  • Keep your contact and payment information updated.

Don'ts

  • Don’t engage in activities that are dangerous, disruptive, offensive, or illegal.
  • Don’t attach anything to the walls, alter offices/furniture, or bring in additional furniture without prior written permission of Chisel.
  • Don’t misrepresent yourself to us, other members of Chisel, or the public in connection with Chisel.
  • Don’t violate the NDA. Read the full NDA here.
  • Don’t practice law in Chisel space that requires frequent visits by individual clients rather than corporate clients. This includes family law, personal injury, local criminal, trust and estate, immigration law.
  • Don’t make a copy of any keys or access cards.
  • Don’t install any additional locks, unless you receive prior written permission of Chisel.
  • Don’t admit any guests to Chisel without registering the guest in advance IAW Chisel Policies. See visitors below. You are responsible for ensuring your guests follow Chisel Rules (including those pertaining to the consumption of alcohol).
  • Don’t sublet any desks or office space.
  • Don’t bring pets, without the prior written permission of Chisel.
  • Visitors should be registered in advance here.
  • Visitors should be instructed to contact you via phone or email upon arrival to meet them in the waiting area.
  • If you have an unexpected visitor, they will be directed to a kiosk where they can send you a message.

EXHIBIT A: NON-DISCLOSURE AGREEMENT

This non-disclosure agreement (“NDA”) between FH+H, PLLC, DBA CHISEL, a Virginia professional limited liability company (“Discloser”), and CHISEL MEMBER (“Recipient”).  Whereas, Discloser has certain confidential information that it may disclose to the Recipient for the purpose of providing services under the Chisel Membership Terms & Conditions (the “Agreement”) entered into between the parties (the “Purpose”), Recipient agrees to be bound by the following terms and conditions set forth in this NDA.
Agreement:

1 – Confidential Information.

“Confidential Information” means:

(a) any information disclosed by the Discloser to the Recipient before the end of the Term (whether disclosed in writing, orally or otherwise) that at the time of disclosure: (i) was marked as “confidential”; or (ii) should have been reasonably understood by the Recipient to be confidential; and

(b) any information pertaining to the Discloser’s current or potential business, including, but not limited to the Discloser’s, the Discloser’s client’s or its client’s information, products, services, litigation, settlements, negotiations, transactions, files, records, matters, agreements, communications, work product, projections, computer programs, applications, software, experimental or developmental work, technological information, contracts, specifications, manuals, processes, financial information, client information, intellectual property, trade secrets, or original works of authorship.Notwithstanding anything to the contrary herein, Recipient, for itself, its officers, employees, contractors, representatives, or agents, agrees not to access, or attempt to access, any of Discloser’s, or any other member or third party located in the premises, confidential information, including without limitation: (i) client names, files, communications, or records; (ii) client information; (iii) passwords; (iv) networks (unless expressly provided otherwise); or (v) mail, fax, voicemail, or emails.  Recipient further agrees that if it obtains, by any means and/or for any reason, any of Discloser’s, FH+H, PLLC’s or any Chisel member’s client information, it shall hold such information in strict confidence and treat such client information as protected by the attorney-client privilege and/or attorney work product privilege, and with at least the same degree of care that it treats its own client information.

2 – Term.

This NDA will come into force on the date first stated above and will continue in force indefinitely, unless and until terminated in accordance with Clause 4.

3 – Confidentiality obligations

3.1 The Recipient agrees and undertakes:

(a) that it will keep all Confidential Information strictly confidential and will not disclose any part of it to any other person without the Discloser’s prior written consent;

(b) that it will use the same degree of care to protect the Confidential Information as it uses to protect its own confidential information of a similar nature, being at least a reasonable degree of care; and

(c) that it will act in good faith at all times in relation to the Confidential Information.

3.2 Notwithstanding Clause 3.1(a), the Recipient may disclose the Confidential Information to its officers and employees who are bound by a written agreement, in terms at least as restrictive as this NDA, to protect the confidentiality of the Confidential Information.

3.3 This Clause 3 imposes no obligations upon the Recipient with respect to Confidential Information which:

(a) is known to the Recipient before disclosure by the Discloser, and is not subject to any obligation of confidentiality; or

(b) is or becomes publicly known through no act or default on the part of the Recipient.

3.4 The restrictions in this Clause 3 do not apply to the extent that any Confidential Information is required to be disclosed by any law or regulation, or judicial or governmental request or order. However, the Recipient shall:

(a) provide the Discloser with prompt notice of any such request or requirement before disclosure so that the Discloser may seek an appropriate protective order or other appropriate remedy; and

(b) provide reasonable assistance to the Discloser in obtaining any such protective order.

4 – Termination

4.1 Either party may terminate this NDA forthwith at any time by giving thirty (30) days advance written notice of termination to the other party.

4.2 Upon and following termination of this NDA:

(a) Clause 5.3 shall continue to apply; and

(b) the provisions of Clause 3 shall continue to apply in relation to Confidential Information disclosed before the end of the Term and any FH+H, PLLC or Chisel member client information, regardless of when or how such information was disclosed.  Recipient shall continue to maintain any information disclosed before termination in strict confidentiality; and

(c) Recipient shall return or certify destruction of Confidential Information upon the Discloser’s request.

4.3 Termination of this NDA will not affect either party’s accrued rights as at the date of termination.

4.4 Subject to Clauses 4.2 and 4.3, upon termination, all the provisions of this NDA will cease to have effect.

5 – General

5.1 If a Clause of this NDA is determined by any court or other competent authority to be unlawful and/or unenforceable, then such Clause shall be modified to reflect the intent of the parties and the other Clauses of this NDA will continue in effect.

5.2 This NDA may not be varied except by a written document signed by each of the parties.  No waiver of a breach, failure of any condition, or any right or remedy contained in or granted by this NDA will be effective unless it is in writing and signed by the party waiving the breach, failure, right, or remedy. No waiver of any breach, failure, right, or remedy will be deemed a waiver of any other breach, failure, right, or remedy, whether or not similar, and no waiver will constitute a continuing waiver, unless the writing so specifies.

5.3 Discloser may assign this NDA upon written notice to Recipient.  Recipient may not without the prior written consent of the Discloser assign, transfer, charge, license or otherwise dispose of or deal in this NDA or any rights or obligations under this NDA.

5.4 Nothing in this NDA obligates either party to proceed with any transaction between them, and each party reserves the right, in its sole discretion, to terminate the Purpose contemplated by this NDA in accordance with the Agreement, and to cease further disclosures, communications, or other activities under this NDA on written notice to the other party. Any commitment to proceed with a transaction will be set forth in a separate agreement signed by the parties.

5.5 This NDA and the Agreement constitutes the entire agreement between the parties in relation to the subject matter of this NDA, and supersedes all previous agreements, arrangements and understandings between the parties in respect of that subject matter.

5.6 This NDA will be governed by and construed in accordance with the laws of the Commonwealth of Virginia; and the courts of Virginia will have exclusive jurisdiction to adjudicate any dispute arising under or in connection with this NDA.

Member Representations & Warranties.

Member, including itself, its officers, employees, contractors, agents, and representatives that will be using the Services under this Agreement, represents and warrants to FH+H, PLLC dba Chisel (“Chisel”), that it: (i) is authorized to practice law in the Commonwealth of Virginia; (ii) is not currently revoked, debarred or suspended, or has not been revoked, debarred or suspended from practicing law in the Commonwealth of Virginia; (iii) will abide by all applicable local, state and federal laws, regulations, orders, and statutes; (iv) will abide by the Virginia State Bar Professional Guidelines; and (v) is not and will not represent itself as part of FH+H, PLLC. Member shall immediately notify Chisel if any of the representations or warranties stated herein are no longer accurate.

Benefits/Services.

(a) Services. Subject to the terms and conditions of this Agreement, including any attachments, exhibits, addenda, agreements incorporated by reference, and any other policies Chisel makes available to the Member from time to time, during the Term (defined below), Chisel will use commercially reasonable efforts to provide the Member with the following general services (the “Services”):
• Non-exclusive access to Flex Desks, Quiet Room, and Phone Rooms (reserved using Booking Credit, otherwise first come, first serve basis)
• Reserved Desk and Private Office options
• Use of Conference rooms and Huddle Rooms (reserved using Booking Credit)
• Maintenance of Chisel spaces, including furnishings and HVAC services, during Business Hours
• Access to Chisel events and classes
• Access to Chisel directory, community board, and network
• Access to Broadband Internet
• Use of Shared Printer/Copier/Scanner (uses Booking Credits)
• Access to Secured shredding
• Non-exclusive access to the Forge Kitchen/Cafe Lounge Area with Coffee/Tea/Filtered Water, Nitro Coffee, and Beer (subject to availability, must be 21+ and drink responsibly)
• Monthly Booking Credits (do not rollover)
• Mail/package handling options
• Lockable storage options
• Private phone line option (no call answering services)

(b) Business Days/Hours. Chisel’s normal business hours are generally from 9AM to 5:30PM on normal Business Days, excluding the days prior to bank/government holidays, when Business Hours generally end at 2PM, (the “Business Hours”). Chisel’s normal business days are Monday through Friday, excluding bank/government holidays, (“Business Days”). Chisel reserves the right to designate up to three additional Business Days as holidays.

(c) Chisel Reserved Rights. Chisel reserves all rights to modify, amend, change, or terminate any Services, plans, fees, policies or procedures at any time by providing oral or written notice to the Member. Chisel may access Member’s Private Office or Storage Locker, with or without notice, in connection with Chisel’s provision of the Services, or for health, safety or emergency purposes. All other Chisel areas are common areas and may be accessed by Chisel at any time for any reason, with or without notice. Chisel reserves the right to move furniture or alter the Chisel spaces, including without limitation, the Flex Desks, Reserved Desks, Private Offices, Quiet Room, Phone Rooms and the Forge, with or without notice, provided that any changes will not substantially reduce the Member’s square footage unless Chisel has given the Member thirty (30) days’ notice of such reduction. Chisel may, but is not required to, monitor or video record the Chisel space(s) and premises for security reasons.

(d) Space Availability. Chisel conference, huddle, and telephone rooms are generally for non-exclusive use and may be used on a first come first serve basis, unless reserved through Chisel using Booking Credit. Chisel does not guarantee that a Member may be able to reserve a particular Chisel space. If Chisel is unable to grant a reservation for any reason, Chisel will not be subject to any liability related to such inability, nor will such failure affect the validity of this Agreement.

Fees and Payments.

(a) Membership Fee. Upon execution of this Agreement, Member shall pay to Chisel the first Monthly Membership Fee payment, plus a one-time Refundable Deposit (defined below) if applicable, as set forth in the Chisel Member Guide, incorporated herein by reference. Thereafter, Member shall pay to Chisel for the Services the Monthly Membership Fee on or prior to the first day of each month following the date of this Agreement, without notice or demand. In the event the Term commences on any day other than the first day of a calendar month, the Monthly Membership Fee for such partial month shall be prorated based upon the actual number of days of the Term during such month. All payments under this Agreement shall be made in U.S. Dollars, by major credit card, wire, Paypal, or Swipe.

(b) Refundable Deposit. If applicable, Member shall pay to Chisel a one-time Refundable Deposit fee, the amount of which is set forth in the Chisel Member Guide. The Refundable Deposit will be held as a retainer for performance of all of Member’s obligations under this Agreement and is not intended to be a reserve from which fees may be paid. In the event Member owes Chisel other fees, Member may not rely on deducting them from the Refundable Deposit, but must pay them separately. Chisel will return the Refundable Deposit, or any balance after deducting outstanding fees and other costs due to Chisel, to Member within thirty (30) days (or earlier if required by applicable law) after the later of (1) the termination or expiration of this Agreement and (2) the date on which Member provides to Chisel all account information necessary for Chisel to make such payment. Return of the Refundable Deposit is also subject to Member’s complete performance of all its obligations under this Agreement, including any obligations applicable following termination or expiration of this Agreement. The Refundable Deposit is in no way a limitation of Member’s liability under this Agreement.

(c) Booking Credits. Each month, the Member will receive a certain number of credits (“Booking Credits”) for conference room use, reservations, copies, printouts and other products and services Chisel may offer from time to time. Booking Credits may not be rolled over from month to month. Booking Credits cannot be transferred, exchanged or sold, are nonrefundable, and have no value upon termination or cancellation of membership and/or this Agreement. If the Booking Credits are exceeded, Member will be responsible for paying fees for such overages. All overage fees are subject to increase from time to time, upon thirty (30) days advanced written notice to Member.

(d) Late Fee. Fees received from the Member will be first applied to any balances which are in arrears and to the earliest month first due. If payment for the Membership Fee or any other accrued and outstanding fee is not made within forty-eight (48) hours of when such payment is due, Member will be responsible for a late charge of five percent (5%) of the overdue amount, not to exceed the applicable legal limit. Chisel may at any time suspend or terminate Services to Member if any payment remains overdue for longer than forty-eight (48) hours past its respective due date.

Term.

This Agreement shall be effective when accepted by Chisel and the Member online through Nexudus or when Member begins to receive Services from Chisel, whichever is earlier (the “Effective Date”); provided that Chisel shall have no obligations to provide Member with Services until the later of: (i) the date on which payment of Member’s Refundable Deposit and the first month’s Membership Fee has cleared, or (ii) August 1, 2017. This Agreement shall continue on a month-to-month basis, and the Term shall run from the Effective Date until terminated in accordance with Section 5 below.

Termination.

(a) Termination by Member. Member may terminate this Agreement at any time, unless agreed to otherwise by Chisel and Member, by delivering to Chisel a completed Member Exit Form. Member shall continue to be bound by the survival provisions set forth in Section 9(g), regardless of termination or expiration of this Agreement.

(b) Termination by Chisel. At its sole discretion, Chisel may suspend Services or immediately terminate this Agreement: (i) upon breach of this Agreement by Member or any of Member’s officers, employees, contractors, invitees, guests, agents or representatives; (ii) upon termination, expiration or material loss of Chisel’s rights in the premises which contain the Chisel space; (iii) if any outstanding fees are overdue after forty-eight (48) hours; (iv) if Member or any of Member’s officers, employees, contractors, invitees, guests, agents or representatives, fail to comply with the terms and conditions of this Agreement, the Chisel Network Agreement, the Chisel Member Guide or any other policies or instructions provided to Member by Chisel either in writing or orally; or (v) at any other time, when Chisel, in its reasonable discretion, sees fit to do so. Member will remain liable for past due amounts, and Chisel may exercise its rights to collect due payment, despite suspension, termination or expiration of this Agreement.

(c) Removal of Property. Prior to the termination or expiration of this Agreement, Member will remove all of its, its officers, employees, contractors, invitees, guests, agents or representative’s property from the Chisel space(s) and premises. Chisel will be entitled to dispose of any property remaining in or on the Chisel space(s) and premises after the termination or expiration of this Agreement and will not have any obligation to store such property, and Member waives any claims or demands regarding such property or Chisel’s handling of such property. Member will be responsible for paying any fees reasonably incurred by Chisel regarding such removal. Following the termination or expiration of this Agreement, and/or the termination or expiration of mail/package handling services, Chisel will not forward or hold mail or other packages delivered to Chisel. Member shall arrange for mail forwarding services with the United States Postal Service prior to such termination or expiration.

Relationship of Parties.

Member and Chisel are independent parties, and Member’s agreement with Chisel shall not be deemed to create a fiduciary or agency relationship, a firm, partnership, joint venture, or lease. Neither party will in any way misrepresent this relationship.

(a) Premises. The Chisel space and premises remains Chisel’s property subject to its lease and in Chisel’s possession and control. Notwithstanding anything in this Agreement to the contrary, the parties agree that their relationship is not that of landlord-tenant or lessor-lessee and this Agreement in no way shall be construed as to grant Member any title, easement, lien, possession or related rights in Chisel’s business, the premises, or anything contained in or on the premises. This Agreement creates no tenancy interest, leasehold estate, or other real property interest.

(b) No Firm Relationship. Member, its officers, employees, contractors, agents or representatives, shall not represent to any third party, client, person or entity that it is affiliated or related in any way to FH+H, PLLC or FH+H, PLLC’s parents, subsidiaries, affiliates, officers, employees, contractors, agents, or representatives. Member shall make clear in its engagement letters, and any relevant correspondence with its clients or potential clients, that the client is only represented by Member, and not FH+H, PLLC.

(c) Trademarks. Member shall not use the words “FH+H”, “FH+H, PLLC”, “Fluet, Huber + Hoang, PLLC” or “Fluet & Associates, PLLC” in any name, logo or other means of identifying Member or its business without the written consent of FH+H, PLLC dba Chisel. Member may not use any of FH+H’s logos, designs, servicemarks or trademarks for any purpose without the advanced written consent of Chisel. Chisel may use Member’s name or mark on its website and other print and electronic publications for advertising and marketing purposes, unless Member objects to such use by sending written notification of such objection to Chisel.

Rules and Policies.

(a) Incorporation of Rules and Policies. Member, for itself, its officers, employees, contractors, agents, representatives, guests, or invitees, agrees to abide by all rules, policies and/or procedures set forth by Chisel either in writing or orally, as may be amended from time to time by Chisel in its sole discretion. All Chisel agreements, rules, policies and procedures, including without limitation, the Chisel Member Guide, Chisel Network Agreement, and the Non-Disclosure Agreement, are hereby incorporated by reference and shall have the same force and effect as if fully stated herein.

(b) Chisel Rules. In addition to any rules, policies and/or procedures that may be set forth by Chisel, Member agrees for itself, its officers, employees, contractors, agents, representatives, guests, or invitees, to:
• Not engage in activities that are dangerous, disruptive, offensive, or illegal.
• Not attach anything to the walls, alter offices/furniture, or bring in additional furniture without prior written permission of Chisel.
• Not misrepresent itself to Chisel, other members of Chisel, or the public in connection with Chisel.
• Not violate the Non-Disclosure Agreement which is attached as Exhibit A hereto.
• Not practice law in Chisel space(s) that requires frequent visits by individual clients rather than corporate clients. This could include family law, personal injury, local criminal, and individual immigration law.
• Not make a copy of any keys or access cards.
• Not install any additional locks, unless Member receives prior written permission from Chisel.
• Not admit any guests to Chisel without registering the guest in advance IAW Chisel Policies. Member is responsible for ensuring its guests follow Chisel rules (including, without limitation, those pertaining to the consumption of alcohol).
• Not sublet any desks or office space.
• Not bring pets (excluding service animals), without the prior written permission of Chisel.
• Not store any dangerous, illegal, or offensive items in storage lockers, desks or offices.

(c) Additional Representations. In addition to the representations and warranties made herein, Member for itself, its officers, employees, contractors, agents, and representatives represents and warrants that it:
• Has not used a broker or relator in connection with this Agreement.
• Is at least 21 years of age, will drink responsibly, and will not provide alcohol to anyone under 21 years of age.
• Is not an entity or individual listed on the Specially Designated Nationals and Blocked Persons List published by the U.S. Department of Treasury, as updated from time to time, and will not violate or cause Chisel to violate any U.S. economic sanctions laws. Member shall immediately notify Chisel if this representation is no longer accurate during the Term of this Agreement.

Additional Agreements.

(a) Non-Disclosure Agreement. Member agrees to execute and abide by the Non-Disclosure Agreement, incorporated as Exhibit A hereto, and shall have its officers, employees, contractors, agents or representatives execute and abide by the same. Member acknowledges that it has proper procedures in place to protect its clients’ confidential information, and will not attempt to access Chisel’s or any other member’s confidential information, including without limitation client information. Member further agrees that if it obtains, by any means and/or for any reason, any of FH+H, PLLC’s or any Chisel member’s client information, it shall hold such information in strict confidence and treat such client information as protected by the attorney-client privilege and/or attorney work product privilege, and with at least the same degree of care that it treats its own client information.

(b) Technology Release. In order to utilize all the functionalities offered by Chisel, it may be necessary to install software onto a Member’s computer, tablet, mobile device or other electronic equipment. In addition, from time to time, at a Member’s request, Chisel or an affiliate, or Chisel or their agent or service provider, may help troubleshoot problems a Member may have in trying to access certain functionalities, such as printing or accessing the Internet. Regarding the foregoing, Member agrees that Chisel and its affiliates: (i) are not responsible for any damage to any Member’s computer, tablet, mobile device or other electronic equipment, or otherwise to Member’s system, related to such technical support or downloading and installation of any software; (ii) do not assume any liability or warranty in the event that any manufacturer warranties are voided; and (iii) do not offer any verbal or written warranty, either expressed or implied, regarding the success of any technical support. Nothing in this provision or Agreement shall obligate Chisel to provide any technical services or assistance to the Member.

(c) WAIVER OF CLAIMS. To the extent permitted by law, Member, on its own behalf and on behalf of Member’s officers, employees, contractors, agents, representatives, guests and invitees, waive any and all claims and rights against Chisel and Chisel’s landlord(s) at the premises and Chisel’s affiliates, parents, and successors and each of Chisel’s and its employees, assignees, officers, members, agents and directors (collectively, the “Chisel Parties”) resulting from injury or damage to, or destruction, theft, or loss of, any property, or person.

(d) LIMITATION OF LIABILITY. The aggregate monetary liability of any of the Chisel Parties to Member or Member’s officers, employees, contractors, agents, representatives guests or invitees for any reason and for all causes of action, will not exceed the total Membership Fees paid by Member to Chisel under this Agreement in the twelve (12) months prior to the claim arising. None of the Chisel Parties will be liable under any cause of action, for any indirect, special, incidental, consequential, reliance or punitive damages, including loss of profits or business interruption. Member acknowledges and agrees that Member may not commence any action or proceeding against any of the Chisel Parties, whether in contract, tort, or otherwise, unless the action, suit, or proceeding is commenced within one (1) year of the cause of action’s accrual. Notwithstanding anything contained in this Agreement to the contrary, Member acknowledges and agrees that Member shall not commence any action or proceeding against any of the Chisel Parties other than the Chisel Party you are directly contracting with hereunder and the assets of such person for any amounts due or for the performance of any obligation in connection with this Agreement.

(e) Indemnification. Member will indemnify the Chisel Parties from and against any and all claims, including, without limitation, third party claims, damages, liabilities, and expenses including, without limitation, reasonable attorneys’ fees, resulting from (i) any breach of this Agreement, or (ii) any act or omission, by Member or Member’s officers, employees, contractors, agents, representatives, guests, or invitees. Member is responsible for the actions of and all damages caused by all persons or property that Member or Member’s officers, employees, contractors, agents, representatives, guests, or invitees invite to enter any of the Premises. Member shall not make any settlement that requires a materially adverse act or admission by Chisel or imposes any obligation upon any of the Chisel Parties without Chisel’s written consent. None of the Chisel Parties shall be liable for any settlement made without its prior written consent.

(f) Insurance. Insurance. Member is responsible for maintaining, at its own expense and at all times during the Term, professional liability insurance, personal property insurance and commercial general liability insurance covering Member and its officers, employees, or agents for property loss and damage, and injury to Member’s officers, employees, agents, representatives, clients, guests or invitees, in form and amount appropriate to Member’s business. Member waives any rights of subrogation Member may have against Chisel and the landlord of the applicable premises. Member shall provide proof of insurance upon our request..

(g) Other Members. Chisel does not control and is not responsible for the actions of other member entities, member individuals, or any other third parties. If a dispute arises between member entities, member individuals or their invitees or guests, Chisel shall have no responsibility or obligation to participate, mediate or indemnify any party.

Miscellaneous.

(a) Choice of Law; Venue. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Commonwealth of Virginia without application of its conflict of laws principles. Any claim or controversy arising out of or related to this Agreement or the Services shall be brought in state or federal court located in the Commonwealth of Virginia.

(b) Updates and Amendments. Chisel may from time to time update this Agreement and will provide notice to Member of these updates. Member will be deemed to have accepted the new terms of the Agreement thirty (30) days after the date of notice of the update(s). Continued use of the Services beyond this time will constitute acceptance of the new terms. No amendments or modifications may be made to this Agreement without the written consent of Chisel.

(c) Waiver. Neither Party shall be deemed by any act or omission to have waived any of its rights or remedies hereunder unless such waiver is in writing and signed by the waiving Party.

(d) Subordination. This Agreement is subject and subordinate to Chisel’s lease agreement with its landlord of the premises and to any supplemental documentation and to any other agreements to which Chisel’s lease with such landlord is subject to or subordinate. However, the foregoing does not imply any sublease or other similar relationship involving an interest in real property.

(e) Extraordinary Events. Chisel will not be liable for, and will not be considered in default or breach of this Agreement on account of, any delay or failure to perform as required by this Agreement as a result of any causes or conditions that are beyond Chisel’s reasonable control, including without limitation (i) any delays or changes in construction of, or Chisel’s ability to procure any space in, any premises, and (ii) any delays or failure to perform caused by conditions under the control of our landlord at the applicable premises.

(f) Severable Provisions. Each provision of this Agreement shall be considered severable. To the extent that any provision of this Agreement is prohibited, this Agreement shall be considered amended to the smallest degree possible in order to make the Agreement effective under applicable law.

(g) Survival. Provisions related to the payment of outstanding amounts, confidentiality, removal of property, and indemnification, and all other provisions of this Agreement reasonably expected to survive the termination or expiration of this Agreement will do so.

(h) Headings. The headings in this Agreement are for convenience only and are not to be used to interpret or construe any provision of this Agreement. Any use of “including,” “for example” or “such as” in this Agreement shall be read as being followed by “without limitation” where appropriate.

(i) Assignment. Member may not transfer or otherwise assign any of its rights or obligations under this Agreement (including by operation of law) without Chisel’s prior consent. Chisel may assign this Agreement without Member’s consent.

(j) Entire Agreement. This Agreement, including any forms, policies and agreements incorporated by reference, constitutes the entire agreement between the Parties relating to the subject matter hereof and shall not be changed in any manner except by a writing executed by Chisel or as otherwise permitted herein. All prior agreements and understandings between the Parties regarding the matters described herein have merged into this Agreement.


EXHIBIT A: NON-DISCLOSURE AGREEMENT

This non-disclosure agreement (“NDA”) between FH+H, PLLC, DBA CHISEL, a Virginia professional limited liability company (“Discloser”), and CHISEL MEMBER (“Recipient”). Whereas, Discloser has certain confidential information that it may disclose to the Recipient for the purpose of providing services under the Chisel Membership Terms & Conditions (the “Agreement”) entered into between the parties (the “Purpose”), Recipient agrees to be bound by the following terms and conditions set forth in this NDA.

AGREEMENT:

1 – Confidential Information. “Confidential Information” means:

(a) any information disclosed by the Discloser to the Recipient before the end of the Term (whether disclosed in writing, orally or otherwise) that at the time of disclosure: (i) was marked as “confidential”; or (ii) should have been reasonably understood by the Recipient to be confidential; and

(b) any information pertaining to the Discloser’s current or potential business, including, but not limited to the Discloser’s, the Discloser’s client’s or its client’s information, products, services, litigation, settlements, negotiations, transactions, files, records, matters, agreements, communications, work product, projections, computer programs, applications, software, experimental or developmental work, technological information, contracts, specifications, manuals, processes, financial information, client information, intellectual property, trade secrets, or original works of authorship.
Notwithstanding anything to the contrary herein, Recipient, for itself, its officers, employees, contractors, representatives, or agents, agrees not to access, or attempt to access, any of Discloser’s, or any other member or third party located in the premises, confidential information, including without limitation: (i) client names, files, communications, or records; (ii) client information; (iii) passwords; (iv) networks (unless expressly provided otherwise); or (v) mail, fax, voicemail, or emails.
Recipient further agrees that if it obtains, by any means and/or for any reason, any of Discloser’s, FH+H, PLLC’s or any Chisel member’s client information, it shall hold such information in strict confidence and treat such client information as protected by the attorney-client privilege and/or attorney work product privilege, and with at least the same degree of care that it treats its own client information.

2 – Term. This NDA will come into force on the date first stated above and will continue in force indefinitely, unless and until terminated in accordance with Clause 4.

3 – Confidentiality obligations

3.1 The Recipient agrees and undertakes:

(a) that it will keep all Confidential Information strictly confidential and will not disclose any part of it to any other person without the Discloser’s prior written consent;

(b) that it will use the same degree of care to protect the Confidential Information as it uses to protect its own confidential information of a similar nature, being at least a reasonable degree of care; and

(c) that it will act in good faith at all times in relation to the Confidential Information.

3.2 Notwithstanding Clause 3.1(a), the Recipient may disclose the Confidential Information to its officers and employees who are bound by a written agreement, in terms at least as restrictive as this NDA, to protect the confidentiality of the Confidential Information.

3.3 This Clause 3 imposes no obligations upon the Recipient with respect to Confidential Information which:

(a) is known to the Recipient before disclosure by the Discloser, and is not subject to any obligation of confidentiality; or

(b) is or becomes publicly known through no act or default on the part of the Recipient.

3.4 The restrictions in this Clause 3 do not apply to the extent that any Confidential Information is required to be disclosed by any law or regulation, or judicial or governmental request or order. However, the Recipient shall:

(a) provide the Discloser with prompt notice of any such request or requirement before disclosure so that the Discloser may seek an appropriate protective order or other appropriate remedy; and

(b) provide reasonable assistance to the Discloser in obtaining any such protective order.

4 – Termination

4.1 Either party may terminate this NDA forthwith at any time by giving thirty (30) days advance written notice of termination to the other party.

4.2 Upon and following termination of this NDA:

(a) Clause 5.3 shall continue to apply; and

(b) the provisions of Clause 3 shall continue to apply in relation to Confidential Information disclosed before the end of the Term and any FH+H, PLLC or Chisel member client information, regardless of when or how such information was disclosed. Recipient shall continue to maintain any information disclosed before termination in strict confidentiality; and

(c) Recipient shall return or certify destruction of Confidential Information upon the Discloser’s request.

4.3 Termination of this NDA will not affect either party’s accrued rights as at the date of termination.

4.4 Subject to Clauses 4.2 and 4.3, upon termination, all the provisions of this NDA will cease to have effect

5 – General

5.1 If a Clause of this NDA is determined by any court or other competent authority to be unlawful and/or unenforceable, then such Clause shall be modified to reflect the intent of the parties and the other Clauses of this NDA will continue in effect.

5.2 This NDA may not be varied except by a written document signed by each of the parties. No waiver of a breach, failure of any condition, or any right or remedy contained in or granted by this NDA will be effective unless it is in writing and signed by the party waiving the breach, failure, right, or remedy. No waiver of any breach, failure, right, or remedy will be deemed a waiver of any other breach, failure, right, or remedy, whether or not similar, and no waiver will constitute a continuing waiver, unless the writing so specifies.

5.3 Discloser may assign this NDA upon written notice to Recipient. Recipient may not without the prior written consent of the Discloser assign, transfer, charge, license or otherwise dispose of or deal in this NDA or any rights or obligations under this NDA.

5.4 Nothing in this NDA obligates either party to proceed with any transaction between them, and each party reserves the right, in its sole discretion, to terminate the Purpose contemplated by this NDA in accordance with the Agreement, and to cease further disclosures, communications, or other activities under this NDA on written notice to the other party. Any commitment to proceed with a transaction will be set forth in a separate agreement signed by the parties.

5.5 This NDA and the Agreement constitutes the entire agreement between the parties in relation to the subject matter of this NDA, and supersedes all previous agreements, arrangements and understandings between the parties in respect of that subject matter.

5.6 This NDA will be governed by and construed in accordance with the laws of the Commonwealth of Virginia; and the courts of Virginia will have exclusive jurisdiction to adjudicate any dispute arising under or in connection with this NDA.
